According to the International Federation of Accountants (IFAC), corporate governance refers to the responsibilities and practices employed by the board of directors and executive managers to define the strategic direction, ensuring goal achievement, risk management, and responsible resource utilization.
Essentially, corporate governance serves as the executive arm of the board of directors, steering the company toward its predefined objectives. Implementing corporate governance principles fosters confidence and trust among owners, shareholders, and other stakeholders, as it transparently reflects the protection of their interests by the management.
The laws and framework governing corporate governance at Tose’e Melli Group are based on the Corporate Governance Bylaws approved by the Tehran Stock Exchange on November 2, 2007, and the Corporate Governance Guidelines for Listed Companies on July 15, 2018. These frameworks are continuously evaluated and reviewed by the board of directors and the CEO of the Tose’e Melli Group to ensure their effectiveness.
